Terms of Service

These Terms of Service ("Terms") govern any project, quote, or agreement between Daria Drehval, operating under the name "Chicky & Co," a self-employed sole trader (trabalhador independente, "recibos verdes") registered in Portugal (NIF: 327850701) ("I," "me," "my"), and you ("Client," "you"), when you engage me for Shopify design and/or development services.
By hiring me, approving a quote, or making a payment, you agree to these Terms.
1. Services
I provide Shopify-related design and development services, generally falling into one of the packages described on this site (e.g., full store builds, development on an existing design, design-only work, or custom development on an existing store) — or a custom scope agreed separately in writing (email is sufficient).
The exact scope, deliverables, and price for your project will be confirmed in a quote or written agreement before work begins. These Terms apply in addition to whatever is agreed there; if something in a specific quote conflicts with these Terms, the quote takes priority for that project.
2. Quotes & Payment
- Quotes are valid for [e.g., 14 days] unless stated otherwise.
- Projects typically require a deposit of [e.g., 50%] before work begins, with the remaining balance due [e.g., on delivery / before final files are handed over].
- For hourly/custom work, I bill in increments of [e.g., 30 minutes] at the rate agreed in the quote.
- Payment is due within [e.g., 7 days] of the invoice date, in [currency, e.g., EUR or USD]. Late payments may pause work on your project until resolved.
- All prices are exclusive of any third-party costs — Shopify subscription fees, paid app subscriptions, licensed fonts/images, domain registration, etc. — which are your responsibility to purchase and maintain.
3. Your Responsibilities
To keep your project on schedule, you agree to:
- Provide content (text, images, product data, brand assets) in a timely manner when requested
- Give feedback and approvals within a reasonable time
- Have the rights to use any content, images, or brand assets you provide me
Delays in providing content or feedback may delay project timelines accordingly, and I'm not responsible for missed launch dates caused by delays on your end.
4. Revisions
The number of revision rounds included depends on the package or quote agreed for your project. Additional revisions beyond what's included, or changes to the original agreed scope, will be quoted separately before I begin that extra work.
5. Ownership & Intellectual Property
- Once a project is paid in full, you own the custom design and code created specifically for your store.
- This does not include third-party assets used in the build — such as licensed stock photography, fonts, paid Shopify apps, or the Shopify platform itself — which remain governed by their own licenses.
- Until final payment is received, all work remains my property and may not be used, published, or distributed.
- I retain the right to showcase completed projects in my portfolio (including on this website) unless you request otherwise in writing, for example due to a confidentiality agreement.
6. Third-Party Platforms & Apps
Your store runs on Shopify and may rely on third-party apps. I am not responsible for:
- Changes Shopify or app developers make to their platforms/pricing after launch
- Ongoing subscription costs for Shopify or any app used in your store
- Issues caused by apps or code not built by me, unless you've hired me specifically to fix them
7. Post-Launch Support
Unless otherwise stated in your quote, my services end at project delivery. Ongoing maintenance, updates, or support after launch are available separately (see the "Fix It, Extend It" / custom work option) and are not included by default.
8. Cancellation
- You may cancel a project at any time by notifying me in writing. Any work completed up to that point will be invoiced, and deposits already paid are non-refundable, as they cover time and resources already committed.
- I reserve the right to pause or end a project if payment is significantly overdue, or if I'm unable to reach you for an extended period (e.g., 30 days) regarding a project awaiting your input.
9. Limitation of Liability
I'll do my best work, but I can't guarantee specific business outcomes (sales, traffic, rankings, etc.) resulting from a website I build. To the extent permitted by law, my liability for any claim related to a project is limited to the amount you paid me for that project. I'm not liable for indirect or consequential damages, including lost profits or data loss, except where such limitation isn't permitted by applicable law.
10. Confidentiality
I won't share confidential business information you provide me (business plans, unpublished designs, customer data, etc.) with third parties, except as needed to complete the project (e.g., a necessary app or hosting provider).
11. Governing Law
These Terms are governed by the laws of Portugal. Any dispute that can't be resolved directly between us will be subject to the jurisdiction of the Portuguese courts, unless applicable consumer-protection law gives you the right to bring a claim elsewhere.
12. Changes to These Terms
I may update these Terms from time to time; the version in effect at the time you approve a quote is the one that applies to that project.
